Terms & Conditions for Classroom Courses
1. Scope
1.1 These General Terms and Conditions for Classroom Courses (hereinafter "GTC") apply to all contracts between TUDIAS – TU Dresden Institute of Advanced Studies GmbH, Freiberger Str. 37, 01067 Dresden (hereinafter "TUDIAS") and natural persons (hereinafter "participants") for booking and participating in TUDIAS classroom courses. Conflicting or deviating terms and conditions will only become part of the contract if TUDIAS expressly agrees to them in writing.
1.2 The same terms and conditions apply to online courses, with certain special features required for online formats.
1.3 The facility rules of the respective classroom location are included as part of the contract.
1.4 Classroom courses which are excluded include those offered as part of the TU Dresden language training, the MINT College, and the student mentoring program .
2. Registration and conclusion of contract
2.1 Course announcements do not constitute an offer to conclude a contract. A contract is concluded upon registration of the participants and confirmation of the registration by TUDIAS in accordance with Section 3 .
2.2 Registration is required in writing, by email, or online, providing the information requested in the course description. Participants under the age of 18 must also provide consent from a parent or legal guardian to register.
2.3 TUDIAS will confirm the participants' registration in the form of a written confirmation, a confirmation email, or a corresponding invoice.
2.4 If an entrance or placement test is required for registration for a classroom course, the result of this test will be decisive, in addition to the necessary information about the participant’s admission to the course according to paragraph 2 . The test result will be communicated to the participant via email within 14 days. Failure to pass the test will not result in admission to the intended course. However, participants have the option of retaking the test after the end of a semester or taking a course at a lower level instead.
3. Scope of services
3.1 TUDIAS provides the services specified in the course description. This includes, in particular, the instruction, the provision of teaching materials, and a certificate of participation and, where applicable, a certificate of completion.
3.2 The in-person course will not be held on public holidays, which are dependent on the course location; these dates are already included in the course schedule and will not be rescheduled.
3.3 TUDIAS retains the right to make changes to the instructors, teaching methods, or procedures that do not significantly alter the overall character of the course.
3.4 TUDIAS offers participants the opportunity to interact with large language models (LLMs) integrated, using generative artificial intelligence (AI) and a so-called AI-based chatbot (AI tutor). Within the classroom courses, individual modules can be delivered entirely or partially online; the AI tutor is also available in these online modules. Participants may receive output generated by the LLM and AI as results of their work.
3.5 The AI tutor supports participants by calculating plausible answers or assistance with questions posed based on training data and learned patterns. These answers are based on statistical probabilities and are not the result of a review by teaching staff. A comprehensive review for accuracy, completeness, or freedom from errors is not performed. The parties therefore agree that the AI tutor's output does not represent a binding, error-free, or guaranteed correct result, but rather provides supportive, automated assistance throughout the course.
4. Duties of the participants
4.1 Participants must comply with the course rules, treat the facilities with care, and not disrupt the class.
4.2 Audio, photographic or film recordings during classes are prohibited and are only permitted in exceptional cases with the prior written consent of TUDIAS.
4.3 Participants are required to arrive at class on time and to avoid interruptions to the course.
4.4 Participants are responsible for bringing the necessary learning materials (e.g. textbooks, writing utensils, electronic devices).
4.5 Participants may not make any discriminatory statements or actions towards persons, particularly on the basis of personal characteristics (age, gender, skin color, ethnicity or religion, etc.).
4.6 Participants may not misuse the classroom courses for political or ideological purposes, for any kind of agitation, or for their own advertising purposes.
4.7 Participants are obliged to comply with the applicable facility rules.
4.8 Participants are obliged to comply with the measures established by TUDIAS in accordance with Section 13 .
4.9 Cultural differences must be respected in classroom courses. Any form of discrimination or disrespectful behavior is prohibited.
4.10 Participants are to treat all content and information obtained during the course, particularly those from discussions in groups or personal contributions from other participants , confidentially and not to pass them on to third parties.
5. Fees and payment terms
5.1 The course fee is based on the price list valid at the time of registration and includes – where applicable – the applicable statutory value-added tax.
5.2 The obligation to pay the course fee is not linked to the actual participation of the participants in the classroom course and exists independently of this.
5.3 The course fee is due without deduction by the due date indicated on the invoice, using one of the payment methods communicated to the participant upon registration. TUDIAS reserves the right to offer additional payment methods when issuing the invoice.
5.4 If the course fee exceeds EUR 500.00, the parties may agree to pay in installments. The terms of the installment payment will be stipulated in a separate agreement between the parties.
5.5 If the course fee is in arrears, TUDIAS is entitled, in addition to asserting statutory consequences of default, to refuse participation in the classroom course until full payment has been made.
6. Set-off and assignment
6.1 Participants are only entitled to offsetting with the existence of undisputed or legally established claims.
6.2 The assignment of claims against TUDIAS is excluded without its prior consent; Section 354a of the German Commercial Code (HGB) remains unaffected.
7. Rebooking and cancellation
7.1 A one-time rebooking to an alternative course date or cancellation of registration is possible up to 7 calendar days at the latest before the original course start date.
7.2 Rebookings and cancellations must be made in writing. The receipt of the notification by TUDIAS is decisive for compliance with the deadline.
7.3 If participants withdraw after the deadline set out in section 7.1, the following cancellation fees apply:
20% of the course fee for cancellation within 7 days before the original course start date;
30 % of the course fee if you withdraw after the course has started;
100 % of the course fee if withdrawal occurs after the first half of the course.
7.4 Rebooking after the deadline specified in Section 7.1 is only possible with TUDIAS's consent. There is no entitlement to rebooking .
7.5 Participants who require a visa to enter Germany may withdraw from the contract if their visa application is ultimately rejected up to three days before the start of the course. TUDIAS must receive written notification of the rejection. In this case, any fees already paid will be refunded, less the registration or enrollment fee. Withdrawal is not permitted if the course was clearly booked solely for the purpose of applying for a visa, and the course registration itself is a prerequisite for the issuance of the visa.
7.6 In the event of cancellation during the International Dresden Spring and Summer Courses, the course fee – less the registration fee of €100.00 plus any applicable bank charges – will be refunded to the participant's account. Cancellation after the course has begun is not possible.
8. Course cancellation, postponement
8.1 TUDIAS may cancel the classroom course if the number of participants is too low or due to force majeure; notification will be given immediately, at the latest two weeks before the start of the course, unless the reason arises at short notice.
8.2 In case of cancellation, TUDIAS will refund any course fees already paid or, upon request, issue a credit note.
8.3 In the event of cancellation by TUDIAS, participants may choose between an immediate refund or a transferable credit in the amount of the course fee, valid for 12 months.
8.4 If individual lessons are cancelled for reasons beyond TUDIAS's control, they will be rescheduled at a later date. If rescheduling is unreasonable or not feasible, a pro rata credit of the course fee will be issued.
9. Termination by TUDIAS
9.1 TUDIAS is entitled to terminate the contract for a classroom course with the participants for good cause in accordance with Section 314 of the German Civil Code (BGB). Good cause exists in particular if, taking into account all circumstances of the individual case and balancing the interests of both parties, TUDIAS cannot reasonably be expected to continue the contractual relationship until the end of the regular term.
Such a reason exists in particular in the following cases:
- The participants violate their obligations under this contract, in particular the obligations under clause 4 .
- The participants are in arrears with the payment of more than two consecutive installments within the framework of an agreed installment payment.
9.2 Termination must be in writing.
10. Certificates of participation, certificates of completion, and testimonials
10.1 Certificates of participation will be issued upon request if participants have attended at least 80% of the scheduled and actually completed class time for a classroom course. Data (digital and physical) regarding participation will be retained for two years after the end of the course, so a certificate of participation can be requested free of charge within this timeframe. After the two-year period, the relevant data will be deleted or destroyed.
10.2 Certificates and transcripts will be retained for ten years after the end of the course. After this retention period, both certificates and transcripts, along with all associated data, will be deleted or destroyed.
10.3 TUDIAS does not guarantee the passing of exams, the receipt of certificates, or the approval of a visa.
11. Rights of use for teaching materials
11.1 All teaching and work materials provided as part of the in-person course—whether in physical or digital form—are protected by copyright. This includes, in particular, scripts, presentations, worksheets, video and audio recordings, overviews, checklists, and all digital content on the course platform.
11.2 Participants are given simple , non-exclusive, non-transferable, and non-sublicensable right to use these materials exclusively for personal use within the scope of the course. In particular, the following are prohibited:
- any reproduction beyond personal use;
- disclosure to third parties – including within companies or families;
- uploading, publishing or distributing on social networks, cloud services, forums or other publicly or semi-publicly accessible platforms;
- use for your own commercial or educational purposes.
11.3 Violations of this policy may result in civil and criminal prosecution. In such cases, TUDIAS reserves the right to claim damages and block access to the course.
12. Exclusion / expulsion in case of disturbances
TUDIAS may temporarily or permanently exclude participants from the course in the event of serious or repeated disruptions (including insults, discrimination, damage to property, or danger to others). In this case, TUDIAS's right to compensation remains unaffected; Section 314 of the German Civil Code (BGB) remains unaffected.
13. Health and infection protection
TUDIAS may order appropriate health and infection control measures (e.g., mandatory mask wearing, proof of testing/vaccination or 3G (vaccinated or recovered from COVID-19), room ventilation, hygiene concepts, temporary course interruption or rescheduling).
14. Liability
14.1 Unlimited liability: TUDIAS is liable without limitation for intentional acts and gross negligence, as well as in accordance with the Product Liability Act. TUDIAS is liable without limitation for damages resulting from slight negligence resulting from injury to life, limb, or health.
14.2 Furthermore, the following limited liability applies: In the case of slight negligence, TUDIAS is only liable in the event of a breach of a material contractual obligation, the fulfillment of which is essential for the proper execution of the contract and on whose compliance participants may regularly rely (hereinafter "cardinal obligation"). Liability for the slightly negligent breach of a cardinal obligation is limited to the damages foreseeable at the time of conclusion of the contract, the occurrence of which must typically be expected. This limitation of liability also applies to TUDIAS's vicarious agents.
15. Data protection
Personal data will be processed exclusively for the purpose of executing the contract. Further details are regulated by TUDIAS's privacy policy, available at https://tudias.de/en/data-protection.html.
16. Cancellation policy
If you have concluded the contract for the course exclusively using remote communication means and are a consumer within the understanding of Section 13 of the German Civil Code (BGB), i.e. if you conclude the contract with TUDIAS for purposes that can predominantly neither be attributed to your commercial nor your independent professional activity, you have a right of withdrawal in accordance with the following provisions:
Right of withdrawal
You have the right to withdraw from this contract within fourteen days without giving any reason.
The cancellation period is fourteen days from the date of conclusion of the contract.
To exercise your right of withdrawal, you must inform TUDIAS by means of a clear statement (e.g., a letter sent by post or email sent to the following address) of your decision to withdraw from this contract.

You may electronically complete our model cancellation form and send it to info@tudias.de. If you make use of this option, we will send you confirmation of receipt of this withdrawal by the next working day (e.g., by email).
To comply with the cancellation period, it is sufficient that you send the notification of the exercise of the right of cancellation before the cancellation period has expired.
Consequences of revocation
If you cancel this contract, we will refund all payments we have received from you, including delivery costs (with the exception of additional costs resulting from your choice of a delivery method other than the cheapest standard delivery offered by us), promptly and at the latest within fourteen days from the day on which we received notification of your cancellation of this contract. For this refund, we will use the same means of payment that you used for the original transaction, unless expressly agreed otherwise with you; under no circumstances will you be charged any fees for this refund.
If you have requested that the services begin during the cancellation period, you must pay us an appropriate amount corresponding to the proportion of the services already provided up to the point at which you notify us of the exercise of the right of cancellation with regard to this contract compared to the total scope of the services provided for in the contract.
17. Final provisions
17.1 Should any provision of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected.
17.2 The law of the Federal Republic of Germany shall apply, excluding the provisions of the United Nations Convention on Contracts for the International Sale of Goods (CISG, "UN Sales Law"). If participants are consumers within the understanding of Section 12 of the German Civil Code (BGB), mandatory consumer law provisions of the country in which participants are habitually resident remain unaffected by the choice of law (particularly with regard to the conclusion of the contract and warranty law).
17.3 If participants are merchants, legal entities, legal entities under public law or special funds under public law, the registered location of the offices of TUDIAS shall be the exclusive place of jurisdiction for all disputes arising from or in connection with contracts between TUDIAS and the participants.

Terms & Conditions for Online Courses
1. Scope
1.1 These general terms and conditions for online courses (hereinafter "GTC") apply to all contracts between TUDIAS – TU Dresden Institute of Advanced Studies GmbH, Freiberger Str. 37, 01067 Dresden (hereinafter "TUDIAS") and natural persons (hereinafter "participants") regarding the booking and participation in TUDIAS online courses. Conflicting or deviating terms and conditions will only become part of the contract if TUDIAS expressly agrees to them in writing.
1.2 Online courses within the meaning of these GTC are all courses offered by TUDIAS that are conducted entirely or partially via digital communication media. Online courses may include, in particular, the following formats:
- Self-study courses: Courses without a supporting teacher (“asynchronous course”) in which the learning content as well as exercises and tasks are provided digitally in advance and can be completed regardless of time and location.
- Live courses: Synchronous courses with real-time communication, with participation taking place at set times via an online conference system and interactive support from a teacher.
- Combination courses (blended learning): Mixed forms in which certain modules or teaching units are completed online, while other components take place in person.
1.3 The same GTC apply to face-to-face courses, with certain special features required for face-to-face formats.
1.4 The terms of use of the various digital platforms used as part of the course are included as part of this contract.
2. Registration and conclusion of contract
2.1 Course announcements do not constitute an offer to conclude a contract. A contract is concluded upon registration of the participant and confirmation of the registration by TUDIAS in accordance with Section 3 .
2.2 Registration is required in writing, by email, or online, providing the information requested in the course description. Participants under the age of 18 must also provide written consent from a parent or legal guardian to register. The consent form must be signed by a legal guardian and enclosed with the registration. TUDIAS reserves the right to verify the identity of the legal guardian using appropriate documentation. If consent is not provided upon registration, TUDIAS is entitled to suspend participation until it is subsequently submitted or to terminate the contract. By granting consent, the legal guardian agrees to pay the course fees and is liable for them.
2.3 TUDIAS will confirm the participant's registration in the form of written confirmation, a confirmation email, or a corresponding invoice.
2.4 If an entrance or placement test is required for registration for an online course, the result of this test will be decisive in addition to the necessary information regarding the participants' admission in the course following the requirements stated in paragraph 2 . Participants will be notified of the test results within 24 hours. Failure to meet the requirements will result in non-admission to the course .
3. Scope of services
3.1 TUDIAS provides the services specified in the course description. This includes, in particular, the instruction, the provision of teaching materials, and a certificate of participation.
3.2 The online course will not be held on public holidays (Germany & Saxony); these dates are already included in the course schedule and will not be rescheduled. The online platform will nevertheless remain accessible to participants on these days.
3.3 TUDIAS reserves the right to make changes to the teaching staff and supervisors, teaching methods or procedures, and learning content that does not significantly alter the overall character of the course.
3.4 TUDIAS offers participants the opportunity to interact with large language models (LLMs) integrated into TUDIAS, using generative artificial intelligence (AI), and an AI-based chatbot (AI tutor). Participants will receive feedback (hereinafter “output”) generated by the LLM and AI as results of their work.

4. Duties of the participants
4.1 Participants must follow the course rules and not disrupt the class.
4.2 Sound, photo or film recordings as well as computer recordings during lessons are prohibited and are only permitted in exceptional cases with the prior written consent of TUDIAS.
4.3 Participants are required to arrive on time for live events and to avoid interruptions to the course.
4.4 Participants may not make any discriminatory statements or actions towards persons, particularly on the basis of personal characteristics (age, gender, skin color, ethnicity or religion, etc.).
4.5 Participants may not misuse the online courses for political or ideological purposes, for any kind of agitation, or for their own advertising purposes.
4.6 While participating in online courses, cultural differences of participants and teachers are to be respected. Any form of discrimination or disrespectful behavior is prohibited.
4.7 Participants are responsible for ensuring uninterrupted participation in the online courses. This includes, in particular:
- logging in in good time before the start of the session,
- muting the microphone when not in use,
- the use of a meaningful name in the system and,
- when possible, the use of camera and headset for active participation.
TUDIAS reserves the right to temporarily or permanently exclude participants from the course in the event of significant or repeated disruption.
4.8 Participants undertake to treat all content and information obtained during the course, particularly those from group discussions or personal contributions from other participants, confidentially and not to disclose them to third parties.
5. Fees and payment terms
5.1 The course fee is based on the price list valid at the time of registration and includes – where applicable – the applicable statutory value-added tax.
5.2 The obligation to pay the course fee is not linked to the participants' actual participation in the online course and exists independently of this.
5.3 The course fee is due upon ordering. Payment is made using the payment methods offered during the registration process, including credit card or direct bank transfer. Access to the course content is only granted after full payment has been received. TUDIAS reserves the right to offer additional payment methods.
5.4 If participants default on payment of the course fee, TUDIAS is entitled, in addition to asserting statutory consequences for default, to refuse participation in the online course until full payment has been made.
6. Subscription model
6.1 As an alternative to individual bookings, participants can purchase a subscription ("Subscription") for the online course. The subscription includes recurring access to the online course for a monthly subscription fee specified in the price list valid at the time of contract conclusion.
6.2 The monthly subscription fee will be automatically collected in advance at the beginning of each month using the payment method specified by the participant upon conclusion of the contract.
6.3 The subscription is for an indefinite period and can be terminated by either party at any time with one month's notice to the end of the respective month in text form (e.g. by email).
6.4 Once the cancellation takes effect, the right to access the booked online course ends at the end of the paid billing period.
6.5 The right to extraordinary termination for good cause remains unaffected.
7. Set-off and assignment
7.1 Participants are only entitled to offsetting with the existence of undisputed or legally established claims.
7.2 The assignment of claims against TUDIAS is excluded without its prior consent; Section 354a of the German Commercial Code (HGB) remains unaffected.

8.4 Rebooking after the deadline specified in Section 8.1 is only possible with TUDIAS's consent. There is no entitlement to rebooking.
9. Course cancellation, postponement
9.1 TUDIAS may cancel the online course due to force majeure; notification will be given immediately, at the latest two weeks before the start of the course, unless the reason arises at short notice.
9.2 If individual live events are canceled for reasons beyond TUDIAS's control, including technical problems with the platforms used, they will be rescheduled at a later date. If rescheduling is unreasonable or organizationally impossible, a pro rata credit of the course fee will be issued.
9.3 In the event of course cancellation, participants can choose between an immediate refund or a transferable credit in the amount of the course fee, valid for 12 months.
10. Termination by TUDIAS
10.1 TUDIAS is entitled to terminate the contract for an online course with participants for good cause in accordance with Section 314 of the German Civil Code (BGB). Good cause exists in particular if, taking into account all circumstances of the individual case and balancing the interests of both parties, TUDIAS cannot reasonably be expected to continue the contractual relationship until the end of the regular term.
Such an important reason exists in particular in the following cases:
- Participants violate their obligations under this contract, in particular the obligations under Section 4 .
- Participants are in arrears with the payment of more than two course fees within the framework of an agreed payment.
10.2 Termination must be in writing.
11. Certificates of participation, certificates of completion, and testimonials
11.1 Certificates of participation will be issued upon request if participants have attended at least 80% of the scheduled and actually completed online course content. Data (digital and physical) regarding participation will be retained for two years after the course ends, so a certificate of participation can be requested free of charge within this timeframe. After the two-year period, the relevant data will be deleted or destroyed.
11.2 Certificates and transcripts will be retained for ten years after the end of the course. After this retention period, both certificates and transcripts, along with all associated data, will be deleted or destroyed.
11.3 TUDIAS does not guarantee the passing of exams, the receipt of certificates, or the approval of a visa.
12. Rights of use for teaching materials
12.1 All teaching and work materials provided as part of the online course—whether in physical or digital form—are protected by copyright. 16. Cancellation policy

17.1 Should any provision of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected.
17.2 The law of the Federal Republic of Germany shall apply, excluding the provisions of the United Nations Convention on Contracts for the International Sale of Goods (CISG, "UN Sales Law"). If participants are consumers within the understanding of Section 12 of the German Civil Code (BGB), mandatory consumer law provisions of the country in which participants habitually reside remain unaffected by the choice of law (particularly with regard to the conclusion of the contract and warranty law).
17.3 If participants are merchants, legal entities, legal entities under public law or special funds under public law, the registered location of the offices of TUDIAS shall be the exclusive place of jurisdiction for all disputes arising from or in connection with contracts between TUDIAS and the participants.
